Concilio Services Limited – Terms of Use V3

1.    Introduction 

1.1 These Terms of Use apply in their entirety to all individuals and entities who visit or interact with the Me & My Menopause platform (“Platform”). By visiting our Platform, you agree to the applicability of these Terms of Use to the relationship between you and Concilio Health as the owner and operator of the Platform.

1.2 Concilio Health, is a trading name of Concilio Services Limited, (“we” or “our” or “us”) is a UK registered company with company number 09740896 and a registered address of 4 South Drive, Harrogate, England, HG2 8AU. 

1.3 Please note that these Terms of Use are governed by, and construed in accordance with, the law of England and Wales. If you are accessing our Platform from outside of England and Wales, as a user of our Platform you are solely responsible for complying with all local laws and regulations.

2.    Description 

2.1 The purpose of our Platform is to provide companies and organisations (“Employers”) with resources and support to employees (“Users”) around the topic of menopause. This includes a ‘Me & My Menopause Journey’ questionnaire, educational resources, frequently asked questions as well as other useful tips. 

3.    Disclaimer 

3.1 The Me & My Menopause Platform is designed to provide educational resources only. The information provided through our Platform should not be used for diagnosing or treating symptoms or conditions relating to the menopause. Our Platform is not a substitute for professional medical guidance. Users should contact their GP’s or other medical professional for medical guidance for their specific needs. 

4.    Platform Functionality 

4.1 Once an Employer has signed up for our Platform, the Employer will provide a link to the Platform to their Users. 

4.2 Each time a link is used on a new device, a new licence is created. Therefore, if a User only uses one device to access the Platform, only one licence is used. If multiple devices are used by the same User to access the Platform, multiple licences are used.   

4.3 Our Platform offers a ‘Me & My Menopause Journey’ questionnaire alongside resources tabs which aim to support and educate Users.  

4.4 Once a User has completed a ‘Me & My Menopause Journey’ questionnaire they will receive a personalised summary (“Personalised Summary”). The User will be given the option to download this by submitting their email address. 

4.5 A User does not need to create an account to access the Personalised Summary or any resources offered on our Platform. A User will only need to submit their email address should they wish to download their Personalised Summary or sign up to our newsletter. 

4.6 Once a User has submitted their email address to download their Personalised Summary from the Platform, the Personalised Summary will be sent via a third party directly to a User’s email address.  

5.    Acceptable Use 

5.1 Our Platform must only be used in compliance with these Terms of Use. An Employer must not: 

  1. Attempt to access any personal data submitted to our Platform by a User;
  2. Require an employee to become a User of the Platform;
  3. Force or pressure a User to divulge results of any ‘Me & My Menopause Journey’ questionnaire(s) or associated material; and
  4. Discriminate against or profile a User for using our Platform.

5.2 Neither a User nor an Employer must: 

  1. Knowingly cause harm to our Platform by uploading, sending or in any way transmitting data that contains any form of virus or malware or any other code designed to adversely affect computer, hardware, software, or data of any kind; or
  2. Knowingly cause any harm to any other User of our Platform.
  • We reserve the right to suspend or restrict access to the Platform, to areas of the Platform and/or to functionality on the Platform should a User breach these Terms of Use.
  • Additionally, we may, for example, suspend access to the Platform during server maintenance or when updating the Platform. You must not circumvent or bypass, or attempt to circumvent or bypass, any access restriction measures on the Platform.

6.    Links to Third Party Sites 

  1. 1 Links to third party sites may be included or embedded into our Platform. The inclusion of a link to another site is for information purposes only and does not imply any endorsement of the sites themselves or of those in control of them.

6.2 Unless expressly stated, these sites are not under the control of Concilio Health. Consequently, we neither assume nor accept any responsibility or liability for the content displayed on any third-party sites. 

7.    Intellectual Property 

7.1 All content on our Platform, other than content provided by Employers, belongs to Concilio Health. Intellectual Property owned by us includes: 

  1. Tradenames;
  2. Logos;
  3. Text;
  4. Design; and
  5. The underlying software and code.

7.2 Specifically, this prohibits the unauthorised use, download, copying and other activities that would dilute or damage our intellectual property without express permission from us.

8.    Indemnity 

8.1 As a User of the Platform, you shall defend, indemnify and hold harmless Concilio Health against claims, actions or proceedings for losses, damages and costs, including court costs and reasonable legal fees, arising out of or in connection with your use of the Platform.

9.    Limitation of Liability

9.1 We do our best to ensure the safety, security and accessibility of our Platform. However, we cannot be held liable for any damages directly or indirectly resulting from the use of our Platform. 

9.2 Nothing in these Terms of Use seeks to exclude or limits our liability to the extent that it cannot lawfully be excluded or limited.

9.3 Liability, if any, shall be limited in amount to the fees paid by the Employer over any relevant 12-month period. 

10. Data Protection

10.1 These Terms of Use have been drafted in line and in accordance with the UK General Data Protection Regulation (“UK GDPR”), as enacted into UK law by the Data Protection Act 2018 (“DPA’18”).  

10.2 Use of our Platform is governed by our Privacy Policy [insert links]. The Privacy Policy is incorporated into these Terms of Use by this reference. 

11. Changes to these Terms of Use 

11.1 We may alter these Terms of Use at any time. If we decide to do so, any changes will become binding on all visitors on their first visit to our Platform after the changes have been made. 

11.2 You are therefore advised to check this page and read our Terms of Use upon every visit to our Platform. 

12. Severability 

12.1 If any of the provisions of these Terms of Use are found to be unlawful, invalid or otherwise unenforceable by any court or other authority, that/those provision(s) shall be deemed severed from the remainder of these Terms of Use. The remainder of these Terms of Use shall be valid and enforceable.

13. Law and Jurisdiction 

13.1 These Terms of Use and the relationship between Concilio Health and individuals or entities visiting our Platform (whether contractual or otherwise) shall be governed by, and construed in accordance with, the law of England and Wales.

13.2 Any disputes concerning these Terms of Use, the relationship between individuals, entities and Concilio Health, or any matters arising therefrom or associated therewith (whether contractual or otherwise), shall be subject to the jurisdiction of the courts of England and Wales.
